Incorporation for Foreigners

Private Limited Company

A Company Name (in English) ending with Private Limited or its abbreviation, Pte Ltd. It cannot be identical or similar to another business name or existing trademark, or contain any offensive or vulgar words, and requires ACRA approval.
At least 1 business activity in its business profile, with a maximum of 2 business activities. The Singapore Standard Industrial Classification Code (SSIC) 2010 can be used to select the business activities.
An initial paid-up capital of at least SGD Additional capital can be injected any time after incorporation.
A fiscal year period must be chosen, which can be any time of the year.
1 to 50 shareholders. The shareholders can either be an individual or another corporate entity, and the shares are not made available to the general public. 100% local or foreign shareholding is allowed. A shareholder can also be the director of the company.
Information relating to any individuals directly or indirectly, solely or jointly holding a significant (25%) control power in any classes of shares.
At least one Director who is an ordinarily resident in Singapore aged 18 years and above. However, certain individuals (e.g. bankrupts and persons convicted of offences involving fraud or dishonesty) are disqualified from holding director positions. Foreigners wishing to act as the local director can apply for a valid work pass. Alternatively VoPlus can provide a Nominee Director to act as your local director.
Must appoint one Company Secretary within six months of the date of its incorporation.
A registered office address in Singapore and cannot be a P.O.Box. Under the Home Office Scheme, HDB and private property homeowners can conduct certain small-scale businesses, such as consulting and design firms, in their residency. Tenants need to obtain written consent from the owner before applying for the scheme (please visit URA's website for details). Application for the Home Office Scheme can be made either before or after the company registration with ACRA.
Unless the company is a small entity, it must appoint an auditor within 3 months from the date of its incorporation.

Under the Personal Data Protection Act 2012 (PDPA), organisations are required to develop and implement policies and practices that are necessary to meet its obligations under the PDPA as well as designate at least 1 individual as the data protection officer (DPO) to oversee the data protection responsibilities and ensure compliance with the PDPA.

Submit Document

  • Completed VO+ Incorporation Form
    – including company name, brief description of business activities, paid-up capital, registered address, shareholders/directors/UBOs, share allocation.
  • Shareholders/Directors/UBO particulars :
    • Identity Document Identity Document :
      • Foreigners : Copy of passport and overseas residential address proof
      • Singapore local residents : Copy of Singapore NRIC.
    • Corporate Entity Shareholder.
      • Copy of business registration certification.
      • Most recent company extract of particulars from Registrar of Companies contains list of Directors.
      • Copy of company constitution (Memorandum and Articles of Association).
      • Board resolutions approving the incorporation of Singapore company and stated shareholding.
      • Certificate of Incumbency (Applicable for BVI, Cayman, Delaware types of companies).
      • Proof of residence address/ Registered Address.

Important Notes :

  • * A true copy of NRIC/passport is required to be presented for verification.
  • * Photocopies of passport have to be notarised if the incorporation application is to be done overseas.
  • * Ensure passport validity not less than 6 months.
  • * Address must be written in English.

Step 4 - Incorporation for Foreigners

Upon receiving your inquiry, we will send you a welcome email containing the following within 1 working day :

  • Online Incorporation Assistant Tool. Here is a Video to demonstrate using the tool.
  • Online Incporation Form (inside the assistant tool)
  • Online Price Quotation (inside the assistant tool)

Upon receipt of all required application forms and documents from you, we will conduct an application completeness check within 1 working day :

  • Completed VO+ Company Incorporation Application Form.
  • NRIC / Passport (foreigners only)
  • Proof of residential address (applicable to foreigners).
  • Corporate shareholder documents (applicable only if there is a corporate shareholder).

Within 1 working day after finalising all requested documents, we will :

  • Ensure proposed company name is available in ACRA.
  • Prepare a brief description of business activities to be registered.
  • Prepare incorporation documents for signing

Notes :

  • An approved business name will be reserved for 60 days from the date of name application. If you need more time to register the company, you can extend the reservation of the approved business name for another 60 days.
  • If the name or activities of the company are referred, this may take up to 14 days, depending on the ministry to which it is being referred.

Based on your preference, we will send you the documents for e-signing or physical signing. Watch E-Sign Guide.

Upon confirmation and payment, we will officially incorporate your company with the authorities within 1 working day.

Notes : 

  • Incorporation application may take around 14 days to 2 months if it is being referred by ACRA for further assessment.

After incorporation, a corporate kit will be prepared for you within 1 working day, containing:

  • 2 copies of company profiles – Bizfile.
  • 2 copies of company constitution (Memorandum and Articles of Association).
  • 1 photocopy of the first board meeting minutes.
  • 1 company round stamp.

After the company is incorporated, if a foreign individual wishes to relocate to Singapore, we can assist in applying for an Employment Pass. After securing an Employment Pass, we can convert you to a resident director in Singapore (about 14 to 60 days for each application, depending on the individuals).

  • Completed VO+ Employment Pass Application Form.
  • Provide education certificates (Two highest education).

As we have good relationships with the major local/foreign banks in Singapore, such as OCBC, UOB, DBS, Maybank, CIMB and Citibank, we can help you with the opening of corporate bank account at no additional charge. (2 to 3 working days with prior appointment)

  • In most cases, the director of the company needs to be physically present to open a bank account in Singapore.
  • Please let us know your preferred choice of bank and we will make an appointment with the banker to avoid having to queue at the branch.
  • Our staff will prepare all documents required prior to the account opening and send you the details of the minimum deposit amount for the selected bank.
